The following terms and conditions (the "Standard Terms") shall be incorporated into the attached insertion order ("IO") by reference:

1. Terms of Payment. All Advertisers must prepay one week in advance for all advertising placed on 4smallbusiness.com. Credit will be established after 6 months of consecutive payment by the Advertiser to 4smallbusiness.com . Once credit is established 4smallbusiness.com shall provide an invoice to Advertiser within thirty (30) days of the end of the month in which the ad campaign described in the IO begins to run. Advertiser agrees to pay 4smallbusiness.com within 30 days from the date of the invoice. Late payments bear interest at the rate of 2% per month, or, if less, the highest rate permitted under law.
   
2. Renewal. Except as set forth in the IO, any renewal of the IO and acceptance of any additional advertising order shall be at 4smallbusiness.com 's sole discretion. Pricing for any renewal period is subject to change by 4smallbusiness.com from time to time.
   
3. No Assignment or Resale of Ad Space. Advertiser may not resell, assign or transfer any of it's rights hereunder.
   
4. Advertiser Representations. Advertiser will conduct its web advertising campaigns on 4smallbusiness.com in accordance with the highest industry standards. Advertiser acknowledges that 4smallbusiness.com has no responsibility to review the Advertiser's advertisements. Advertiser's web site(s) and advertisements shall not contain, or contain links to, improper or illegal content. 4smallbusiness.com reserves the right to reject any advertisement, IO or URL link embodied within an advertisement at any time. Advertisements are accepted upon the representation that Advertiser has the rights of any third parties. Advertiser agrees to indemnify and hold 4smallbusiness.com and 4smallbusiness.com 's web site affiliates harmless against any and all expenses and losses of any kind (including reasonable attorney's fees and costs) incurred by 4smallbusiness.com or its web site affiliates in connection with any claim of any kind arising out of publication of the advertisement (including, without limitation, any claim of trademark or copyright infringement, libel defamation, breach of confidentiality, false or deceptive advertising or sales practices) and / or any material of Advertiser to which users can link through the advertisement.
   
5. Limitation of Liability. 4smallbusiness.com 's AD SPACES AND SOFTWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE" AND 4smallbusiness.com DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE AND IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE. 4smallbusiness.com shall not be liable for any advertisers or content providers whose content appears on 4smallbusiness.com, nor the contents of any advertisements, web site or web page. In the event that 4smallbusiness.com fails to display an advertisement in accordance with the IO (or in the event of any other failure, technical or otherwise), the sole liability of 4smallbusiness.com to Advertiser shall be limited to either a refund of the advertisement fee for the portion of the ads that failed to run, or placement of the advertising at a later time. In no event shall 4smallbusiness.com be responsible for any consequential, special, lost profits, or other damages arising from any failure to timely run the advertising in accordance with the IO. Without limiting the foregoing, 4smallbusiness.com shall have no liability for any failure or delay resulting from conditions beyond 4smallbusiness.com 's control.
   
6. Cancellations. Except as otherwise provided in the IO, the IO is cancelable by the Advertiser with 30 days written notice.
   
7. Miscellaneous. No conditions other than those set forth in the IO or these Standard Terms shall be binding on 4smallbusiness.com unless expressly agreed to in writing by 4smallbusiness.com. In the event of any inconsistency between the IO and Standard Terms, the Standard Terms shall control. These Standard Terms, together with IO, (i)shall be governed by and construed in accordance with, the laws of the State of Florida, without giving effect to principles of conflicts law; (ii) may be amended only by written agreement executed by an authorized representative of each party; and (iii) constitute the complete and entire expression of the agreement between the parties, and shall supersede any and all other agreements, whether written or oral, between the parties.
